Use of the "SimpleLabs" platform (Membership, Credits, Image/Video Generation, Publisher/Scheduler, Discord Community, ComfyUI Workflows, Prompt Library)

§ 0 Provider Identification (Imprint)

§ 1 Definitions

  • Platform/Service: The online offering "SimpleLabs", including Discord community and provided workflows.
  • User: A registered person who uses the platform.
  • Consumer/Entrepreneur: According to legal definitions (§ 13/§ 14 BGB - German Civil Code).
  • Membership: Time-limited access to platform functions/features (subscription).
  • Credits: Non-transferable usage/consumption units within the platform for certain services (e.g., image/video generation).
  • Generation: Creation of images/videos/assets using AI models; may be done through third-party providers (e.g., Nano Banana, Kling, etc.).
  • Third-party providers: External service providers (e.g., model/GPU providers, hosting, payment providers, social APIs) to whom data may be transmitted for service provision.
  • Publisher/Scheduler: Functions for planning/publishing social media content (e.g., via tokens/connections).
  • Workflows: ComfyUI workflows and associated files/assets provided by SimpleLabs.

§ 2 Scope, Contracting Parties, Contract Language

These Terms and Conditions apply to all contracts between the provider (Section 0) and the user regarding the use of SimpleLabs.

Deviating conditions of the user do not apply unless the provider expressly agrees in writing.

Contract language is German.

§ 3 Service Description, Service Changes

SimpleLabs offers – depending on membership/plan – access to:

  • AI image and video generation (possibly via third-party providers)
  • Credits (including possibly monthly "gifted" credits)
  • Publisher/Scheduler functions
  • Discord community
  • ComfyUI workflows (licensed access)
  • Prompt library
  • Bug bounty/reward systems in credits

No claim to specific models/providers/features:

The provider may change, replace, or discontinue models, providers, endpoints, workflows, features, and integrations as required for objective reasons (e.g., API changes, costs, security, legal situation, abuse, availability).

Changes to service scope/credits:

The number/type of gifted credits per generation and plan services may be adjusted; existing users will be informed in good time about significant changes.

There is no guarantee for specific quality, style, suitability, or error-free generated content.

§ 4 Registration, Account, Security

Use requires registration. The user must provide truthful information during registration and keep it up to date.

Login credentials must be kept confidential; account sharing, disclosure, or sale/transfer of the account to third parties is strictly prohibited.

The provider may temporarily suspend accounts, reset sessions, and require additional verification in case of suspected misuse/security incidents.

§ 5 Prices, Payment, Stripe

Prices displayed at the time of contract conclusion apply. The provider is a small business pursuant to § 19 UStG (if indicated in checkout).

Processing is done via Stripe (third-party provider). The user agrees that payments are processed via Stripe.

The provider may adjust prices for memberships, credits, and generations. Price changes generally apply to future billing periods; users will be informed before they take effect.

Payment default / failed payments: In case of failed payments, the provider may (partially) suspend access until payment is made.

Chargebacks: In case of chargebacks, the provider may suspend the account until clarification and may claim resulting costs (e.g., Stripe fees) to the legally permissible extent.

§ 6 Membership, Term, Automatic Renewal, Cancellation

Memberships run for the selected period and renew automatically unless otherwise indicated at checkout.

Cancellation is possible at any time at the end of the term; details are shown in the plan display/billing page.

No retroactive cancellation: A cancellation does not apply retroactively. Goodwill or special cases (e.g., demonstrable form errors) are at the provider's discretion.

§ 7 Right of Withdrawal (Consumers) – Digital Services, Immediate Access, Credits

Right of Withdrawal:

Consumers generally have a statutory right of withdrawal.

Immediate start of digital service / Expiration of the right of withdrawal:

Since the membership provides immediate access to digital content and digital services (particularly AI generations, access to workflows, community access, and other platform functions), contract performance begins at the user's request immediately after contract conclusion.

The user therefore expressly agrees at checkout that the provider begins performance before the expiration of the withdrawal period, and confirms their knowledge that – to the extent legally provided – the right of withdrawal expires upon commencement of performance.

Compensation for services already provided (where applicable):

If in individual cases a right of withdrawal does not expire, but the user has requested that we begin performance before the withdrawal period expires, the user owes compensation in the event of withdrawal for services already provided up to the withdrawal, to the legally permissible extent.

Additionally purchased credits – Refund:

Additionally purchased credits can only be refunded if the provider can verify and confirm that these credits have not yet been used. Credits already used are excluded from refund.

§ 8 Credits – System, Top-up, Return, No Monetary Value

Credits are used exclusively for platform services.

Credits are not a means of payment, not e-money, do not bear interest, and cannot be exchanged for real money.

Credits are personal, non-transferable, non-assignable, and may not be sold or traded.

The provider may adjust the number of gifted credits, credit prices, and credit costs per feature.

Return/Refund: Return/refund of credits is only possible if credits are demonstrably unused and there is no abusive use; processing at the provider's discretion.

The provider may determine whether credits expire upon cancellation or remain usable until the end of the term (plan rule). If no plan rule exists, credits expire at the latest upon contract termination.

§ 9 Bug Bounty Credits and Prompt Library Compensation

Bug Bounty: Users can report bugs. Compensation in credits is provided exclusively upon confirmation (reproducibility, novelty, severity) and at the provider's discretion.

No entitlement to compensation; amounts may be adjusted at any time.

Abuse (e.g., fabricated bugs, multiple reports, exploitation/manipulation) leads to exclusion and may result in suspension.

Prompt Library: Users can submit/share prompts. If a prompt is used, compensation in credits may be provided. Criteria, counting method, and amount are determined by the provider; no entitlement; changeable at any time.

Compensation in credits is not exchangeable for real money.

§ 10 Prohibited Content and Use

Prohibited in particular are:

  • Violence-glorifying content, extremist content
  • Explicit NSFW generations (pornographic/sexually explicit)
  • Content with sexual reference to minors, child abuse imagery, and similar
  • Hate/harassment/doxxing
  • Illegal content, rights infringements (copyright, trademark, personality rights)
  • Deepfake/impersonation of real persons without rights/consent (e.g., celebrities, private individuals, political figures)

The provider may review content/prompts/uploads (especially upon report), moderate, block, or remove them, and sanction accounts for violations.

§ 11 Publisher/Scheduler – Social Media Connections

The Publisher/Scheduler may require external platforms/APIs. Availability and functionality depend on third-party providers.

The user is solely responsible for:

  • Authorization to use the social accounts
  • Compliance with platform terms of service
  • Content that is published

The provider is not liable for suspensions/shadowbans or other measures by third-party platforms.

§ 12 Discord Community

Discord access is an additional service. Discord is a third-party provider. There is no entitlement to permanent availability.

Community rules must be followed; moderation/house rules apply. The provider may exclude users for violations.

§ 13 Rights to Generated Content (Outputs) and User Content (Inputs)

Outputs:

The user receives – to the extent legally possible – the rights to images/videos generated by them. The provider retains no exclusive rights to outputs.

Limitation: Rights only arise to the extent that no third-party rights are infringed (e.g., trademarks/copyrighted motifs/personality rights). Lawful use/publication is the user's responsibility.

Inputs (Uploads/Prompts):

The user guarantees that they have the necessary rights to uploaded content.

The user grants the provider a non-exclusive, worldwide, royalty-free, sublicensable right to store, process, and transmit inputs/prompts/outputs exclusively for contract performance to third-party providers for generation.

Use for marketing purposes only with separate consent.

§ 14 License for ComfyUI Workflows, Intellectual Property Rights, Prohibition of Distribution

Workflows and associated files are protected by copyright and remain the property/ownership of the provider or licensor.

Users receive a simple, non-transferable, revocable right of use for the duration of membership, exclusively for own use.

Strictly prohibited: Sale, distribution, upload, public provision, sublicensing, reverse engineering, removal of protective notices.

§ 15 Data Processing, Third-Party Disclosure, Deletion

The provider processes personal data and usage data (e.g., account data, payment status, prompts, uploads, outputs, logs) to provide services.

For generations, data (e.g., prompts, images) may be transmitted to third-party providers as necessary.

Details (purposes, legal bases, storage periods, third-country transfers, data subject rights) can be found in the privacy policy.

Deletion requests: Deletion of accounts and data is done upon request to info@simple-labs.ai. The provider may require verification to prevent unauthorized deletions.

Backups and security/billing logs may be deleted with a technical delay; statutory retention obligations remain unaffected.

§ 16 Availability, Maintenance, Force Majeure

There is no entitlement to uninterrupted availability. Maintenance, security updates, and disruptions are possible.

In case of force majeure or events beyond control (e.g., cloud/third-party outages, API changes, DDoS, governmental measures), the obligation to perform is suspended to the extent performance is impossible/unreasonable.

§ 17 Warranty, Liability, Compensation for Bugs

The provider does not owe artistic or creative performance/success. AI outputs may be faulty or inappropriate.

Provider liability (regardless of legal basis) is – to the extent legally permissible – limited to intent and gross negligence.

In case of slight negligence, the provider is only liable for breach of material contractual obligations and limited to typically foreseeable damage.

No liability for lost profits, indirect consequential damages, data loss (if the user does not make reasonable backups), or for measures by third-party platforms (social media suspensions).

Compensation for bugs: Compensation – if any – is at the provider's discretion and generally only in the form of credits, term extension, or pro-rata refund; further claims are excluded to the extent permissible.

§ 18 Indemnification

The user indemnifies the provider against third-party claims arising from unlawful use, from content provided by the user, or from publications via the Publisher (including reasonable legal costs), to the extent the user is responsible for the breach of duty.

§ 19 Suspension, Termination for Cause, Data Deletion for Violations

In case of violation of these Terms or abuse, the provider may suspend access or terminate the contract extraordinarily.

In case of serious violations (especially prohibited content, fraud, account sharing, workflow theft), membership may be terminated without compensation.

Account and content may be deleted; Section 15.5 (backups/retention) remains unaffected.

§ 20 Consumer Dispute Resolution / Online Dispute Resolution

The provider is generally not obligated and not willing to participate in dispute resolution proceedings before a consumer arbitration board, unless otherwise indicated.

Note: The former EU Online Dispute Resolution platform (OS/ODR) was discontinued as of 20.07.2025.

§ 21 Changes to Terms and Conditions

The provider may change these Terms and Conditions as required for objective reasons (e.g., legal situation, security requirements, product changes).

Users will be informed in good time. If the user does not object within a reasonable period, the changes are deemed accepted; the provider will point this out.

Mandatory consumer rights remain unaffected.

§ 22 Final Provisions

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods.

If the user is a merchant/entrepreneur, the place of jurisdiction is Kassel, to the extent permissible.

Should individual provisions be invalid, the contract remains valid otherwise; the statutory provision takes its place.
